Please read these Terms of Service carefully before using SpreeShop. By accessing or using our platform, you agree to be bound by these terms. If you disagree with any part of these terms, you may not access the service.
1. Service Description
SpreeShop provides a software-as-a-service platform that enables apparel businesses ("Operators") to create and manage custom-branded online storefronts for their end customers ("Shoppers"). The platform includes store management, product catalog management, order processing, payment handling via Stripe, and related features.
These terms govern both Operators (businesses that create stores on SpreeShop) and Shoppers (individuals who purchase from SpreeShop-powered stores).
2. Account Responsibilities
When you create an account on SpreeShop, you agree to:
- Provide accurate, current, and complete registration information.
- Maintain the security of your account credentials. You are responsible for all activity under your account.
- Notify us immediately of any unauthorized access at support@spreeshop.xyz.
- Not share your account with others or create accounts on behalf of someone else without authorization.
- Keep your contact information up to date.
SpreeShop reserves the right to suspend or terminate accounts that violate these terms or that have been inactive for more than 24 months with no active stores or orders.
3. Acceptable Use
You agree not to use SpreeShop to sell, promote, or facilitate:
- Illegal products or services under applicable federal, state, or local law.
- Counterfeit goods or products that infringe on third-party intellectual property rights.
- Hate speech, discriminatory content, or content that promotes violence.
- Adult content, tobacco, firearms, controlled substances, or other age-restricted products without appropriate verification.
- Pyramid schemes, multi-level marketing, or deceptive sales practices.
- Products that misrepresent their origin, quality, or nature.
You also agree not to attempt to gain unauthorized access to any part of the platform, reverse-engineer our software, scrape data in bulk, or use automated means to interact with the platform without our written consent.
SpreeShop reserves the right to remove any content or store that violates these provisions at any time without prior notice.
4. Payment Terms
Platform Subscription (Operators)
Operators pay a monthly subscription fee according to the plan selected at signup. Fees are billed in advance on a monthly basis. All fees are non-refundable except where required by law or as described in our refund policy.
Your subscription will renew automatically unless you cancel at least 48 hours before the renewal date. You may cancel at any time from your account settings.
Store Payments (Shoppers)
Payments for orders placed on SpreeShop-powered stores are processed by Stripe, Inc. By making a purchase, you agree to Stripe's Terms of Service. SpreeShop does not store your payment card information.
Refunds for store orders are handled by the individual store Operator. Contact the store directly for refund requests. SpreeShop is not responsible for refund disputes between Shoppers and Operators.
Taxes
Operators are responsible for collecting and remitting applicable sales taxes. SpreeShop provides tools to configure tax settings but is not responsible for tax compliance.
5. Intellectual Property
Your Content
You retain all intellectual property rights in the content you upload to SpreeShop, including artwork, logos, product images, and store branding. By uploading content, you grant SpreeShop a limited, non-exclusive license to display and process that content solely for the purpose of providing the service.
SpreeShop Platform
The SpreeShop platform, software, design, trademarks, and documentation are owned by SpreeShop and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
Third-Party IP
You represent that you have the right to use all artwork, logos, and designs you upload. You are solely responsible for ensuring your content does not infringe third-party intellectual property rights. SpreeShop will respond to valid DMCA takedown notices in accordance with applicable law.
6. Limitation of Liability
To the fullest extent permitted by law, SpreeShop shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, data loss, or business interruption — arising from your use of or inability to use the platform, even if SpreeShop has been advised of the possibility of such damages.
SpreeShop's total liability to you for any claim arising from or related to these terms or the service shall not exceed the amount you paid to SpreeShop in the 12 months preceding the claim.
The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
7. Indemnification
You agree to indemnify, defend, and hold harmless SpreeShop, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including attorneys' fees — arising out of or related to your use of the platform, your content, your violation of these terms, or your infringement of any third-party rights.
8. Termination
Either party may terminate the agreement at any time. Operators may cancel their subscription from account settings. SpreeShop may suspend or terminate your account for violations of these terms, failure to pay, or for any other reason with reasonable notice.
Upon termination, your access to the platform will cease. Operators may export their store data for 30 days following termination, after which data may be deleted in accordance with our retention policy.
9. Governing Law
These Terms of Service are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida.
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
10. Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of material changes by email or by posting a notice on our website at least 14 days before the changes take effect. Your continued use of the service after the effective date constitutes acceptance of the revised terms.
